Board Member Roles

President: Preside at all meetings of the Board of Directors; see that orders and resolutions of the Board are carried out; sign all leases, mortgages, deeds and other written instruments and co-sign any promissory notes.

Vice President: Act in the place of the President in the event of his absence, inability or refusal to act, and exercise other duties as may be required by the Board.

Treasurer: Receive and deposit in appropriate bank accounts all monies of the Association, and disburse such funds as directed by resolution of the Board; sign all checks and co-sign all promissory notes of the Association; keep proper books of account; cause an annual audit of the Association books to be made by the Board at the completion of each fiscal year; prepare an annual budget and a statement of income and expenditures to be presented to the membership at its regular annual meeting, and deliver a copy to each of the members; report at regular meetings to the Board of Directors on the financial condition of the corporation; prepare for approval by the Board all financial reports or returns of the Association as required by any Federal, State, or Local government, agency or law.

Secretary: Record the votes and keep the minutes of all meetings of the Board and of the members; keep the corporate seal of the Association and affix it on all papers requiring the seal, serve notice of meetings of the Board and of the members; keep appropriate current records showing the members of the Association together with their addresses, and perform other duties as required by the Board.

Landscape Beautification Chairperson: Recommend actions to the Board with regard to landscape and beautification maintenance issues at the entrances and the common park; monitor service providers for quality and consistency of service; provide a status report to regular meetings of the Board, and exercise other duties as may be required by the Board.

Architectural Committee Chairperson: The Architectural Committee’s purpose is to promote good design, harmony, and compatibility within the subdivision. The Chairperson leads the Architectural Committee; functions as primary point of contact for the submission and review of Architectural Modification applications; recruit members to assist in the review of applications; facilitate Architectural Committee review and response on proposed architectural modifications at properties within Hampton South; provides recommendation to the Board on applications that the Committee is unable to act on; provide a status report to regular meetings of the Board, and exercise other duties as may be required by the Board.

The Association meets once annually. The Board meets about once every six weeks. Minutes are kept for each of these meetings. If you are a resident of Hampton South and would like a copy of the minutes from any of these meetings just let the Secretary or the President know and they will help you out. If you are interested in attending a Board meeting, let the President know and you will be informed when and where the next Board meeting is scheduled.
